SEBI Cancels Trade Money Research Registration Over Association With Debarred Person and Audit Lapses

The Securities and Exchange Board of India has cancelled the research analyst registration of Priyanka Yadav, proprietor of Trade Money Research, with immediate effect. SEBI published the final order on September 10, 2026. The case is significant for registered intermediaries because it focuses not only on formal ownership of a registered entity but also on who is actually carrying out regulated activities, the fit-and-proper test and the obligation to disclose material associations to clients.

What SEBI's final order addresses

The matter followed a joint onsite inspection by SEBI and BSE conducted on October 8 and 9, 2024 at Nagpur and Indore. According to contemporaneous reporting based on the final order, the designated authority found that research-analyst activities were being carried out by Sandeep Yadav, who had previously been debarred by SEBI.

SEBI's concern was therefore wider than a routine procedural lapse. The regulator examined whether a person with an adverse regulatory history was effectively operating through a registered research analyst and whether that arrangement was consistent with the registration conditions and the fit-and-proper requirements applicable to securities-market intermediaries.

Association with a previously debarred person was central

The final order concerned Priyanka Yadav's registered research-analyst business, Trade Money Research. Reporting on the order states that Sandeep Yadav, proprietor of Capital Vista Investment Adviser, had earlier faced SEBI action for unregistered investment-advisory activity. SEBI relied on material including his signed statement and email to conclude that he was running the research-analyst operations.

The chronology also mattered. Priyanka Yadav obtained research analyst registration on December 1, 2022, after SEBI had issued a show-cause notice to Sandeep Yadav and before a final order against him dated January 30, 2023. SEBI considered his disciplinary history material to the assessment of the registered intermediary and to disclosures owed to clients.

Client disclosure and annual audit issues

The case also involved failure to inform clients about the operational association and failure to conduct the mandatory annual audit. These findings are important for compliance teams because registration obligations do not end with obtaining a certificate. Ongoing governance, disclosure, record-keeping and audit requirements remain part of the regulated activity.

SEBI's fit-and-proper framework considers factors such as integrity, honesty, ethical behaviour, reputation, fairness and character. The regulator concluded that the association with a debarred person who was carrying out the registered activity was inconsistent with those requirements. The final action followed the designated authority's recommendation that the registration be cancelled.

Why the order matters for registered intermediaries

For research analysts, investment advisers and other regulated market intermediaries, the order reinforces a practical compliance principle: regulators can look beyond the name on the registration certificate to the persons who actually control, manage or perform the regulated activity. Firms should therefore maintain clear governance around authorised personnel, role allocation, access to client systems, research production, communications and supervisory responsibility.

It also highlights the importance of screening key personnel and associates for past regulatory action. Where a person with a disciplinary history is involved in a regulated business, the compliance analysis should address whether the association is permitted, whether it affects fit-and-proper status and whether disclosure is required. A failure to surface a material association can become more serious when the associated person is already subject to regulatory restrictions.

Audit is an ongoing control, not a filing formality

The reported failure to conduct the required annual audit is another practical warning. For professional firms advising SEBI-registered entities, the annual compliance audit should be treated as part of the control environment: it can identify unauthorised operating roles, inadequate disclosures, gaps in client communications and other breaches before they become enforcement issues.

The case also illustrates why ownership records alone are not enough for internal-control reviews. Engagement letters, employee and consultant access, email trails, research workflows, payment arrangements and client-facing communications can reveal who is substantively operating the business. Compliance documentation should match operational reality.

Immediate compliance checks

- Confirm that only authorised and appropriately qualified persons perform regulated research-analyst functions.

- Review associations, management roles and access rights for persons with past securities-market disciplinary action.

- Ensure material conflicts and associations are disclosed to clients where the regulatory framework requires them.

- Complete mandatory annual audits on time and retain evidence of remediation.

- Verify that the persons actually running the business match the governance and responsibility structure represented to SEBI and clients.

Practical takeaway: SEBI's September 10 final order is a governance and fit-and-proper warning for regulated intermediaries. Registration cannot be used as a formal shell while a restricted or undisclosed person substantively conducts the regulated activity, and routine compliance controls such as annual audits and client disclosures remain central to investor protection.
