Bars Tarapur Transformers-Linked Entities for Up to 5 Years Over Fund Diversion and Fictitious Transactions

The Securities and Exchange Board of India has passed a fresh enforcement order in the matter of Tarapur Transformers Limited, with the regulator barring nine entities from the securities market for periods of up to five years in a case involving alleged diversion of company funds, fictitious transactions and governance failures. SEBI's order page is dated 31 August 2026.

What the SEBI action covers

According to details reported from the order, SEBI's investigation covered the period from 1 April 2018 to March 2023. The regulator found that Tarapur Transformers had transferred about ₹31.46 crore through interest-free loans and advances to connected or related entities. SEBI's case was that these amounts were subsequently diverted through write-offs, provisioning or non-recovery.

The investigation also identified write-off of trade receivables of about ₹14.37 crore. SEBI further alleged that transactions with connected entities included fictitious sales and purchases that inflated the company's revenue and net worth and resulted in misrepresentation of financial statements.

Market bans and monetary penalties

Promoter Rajendra Kumar Choudhary has been barred from the securities market for five years and has been subjected to a monetary penalty of ₹30 lakh. SEBI reportedly described him as the central figure behind the conduct examined in the matter and found failures in legal and fiduciary duties toward the company and its shareholders.

Ganesh Gangaram Madhari has been penalised ₹2 lakh. The other named entities reported as debarred for three years include Choudhary Global Limited, Veedhata Towers, Lorraine Finance, Rohit Steel Lamination, Deekay Iron and Steel, Kumudini Engineering and Ashadeep Multitrade.

Governance and disclosure issues flagged

The case is notable for finance and compliance professionals because it is not limited to a single disclosure lapse. The findings reported from the order cover related-party transactions, accounting entries, audit-committee disclosures, constitution of the audit committee and compliance with regulatory summons.

SEBI also did not impose a monetary penalty on Tarapur Transformers itself, with the reported reasoning that such a penalty would ultimately be borne by shareholders. The regulator similarly refrained from imposing monetary penalties on certain other entities described as non-operational paper companies, while retaining market-access restrictions.

Why this matters for finance and audit teams

The order reinforces the regulatory risk around connected-party fund movements and the need for accounting records to reflect the commercial substance of transactions. Interest-free advances to related or connected entities, long-outstanding recoverables, large write-offs and unusual sales or purchase patterns are all areas that can attract scrutiny when they affect reported revenue, net worth or the true use of company funds.

For statutory auditors, internal auditors, finance heads and company secretaries, the practical lesson is to connect related-party approval controls with financial-reporting controls rather than treating them as separate compliance exercises. Audit-committee records, board oversight, related-party disclosures, recoverability assessments and responses to regulator queries should tell a consistent story.

Listed companies should review whether loans, advances, receivables and connected-party transactions are supported by clear commercial rationale, proper approvals and realistic recovery assessment. Where such balances are written off or provided for, the supporting documentation and disclosure trail become critical. SEBI's Tarapur Transformers action shows how accounting, governance and securities-law concerns can converge into a single enforcement proceeding.
